Please read these terms carefully before using our website, mobile application, WooCommerce plugin, or payment services. By accessing or using any Scan & Pay product or service, you agree to be bound by these Terms and Conditions.
1. Definitions
"Scan & Pay", "we", "us", or "our" refers to Senax Enterprises Pty Ltd.
"Merchant", "you", or "your" refers to any business or individual that registers for and uses our payment verification services.
"Service" refers to the Scan & Pay platform, including the website (scanandpay.com.au), Android application, WooCommerce plugin, merchant dashboard, APIs, and any associated tools or features.
"PayID" is a registered trademark of NPP Australia Limited. Scan & Pay facilitates real-time PayID payment verification but does not operate the PayID system itself.
"Transaction" refers to each individual payment verified through the Scan & Pay platform.
2. Eligibility
To use Scan & Pay as a Merchant, you must:
- Be a registered Australian business or sole trader
- Hold a valid Australian Business Number (ABN)
- Complete our Know Your Customer (KYC) verification process
- Have a PayID registered with a supported Australian financial institution
- Be at least 18 years of age
3. Services
Scan & Pay provides QR code-based instant PayID payment verification at point of sale and ecommerce checkout. Our Service enables Merchants to:
- Generate QR codes for customer payments via PayID
- Receive real-time payment verification
- Access transaction records and reporting via the merchant dashboard
- Integrate payment verification into WooCommerce stores
Scan & Pay is a payment verification service. We do not hold, transfer, or process funds. All payments are settled directly between the customer's and Merchant's financial institutions via the New Payments Platform (NPP).
4. Fees and Billing
4.1 Transaction Fees
A flat fee of $0.90 (AUD) is charged per verified transaction, regardless of the transaction value.
4.2 Subscription Fees
Monthly subscription fees are charged per plan tier as displayed on our Pricing page (scanandpay.com.au/pricing). Subscription fees are billed in advance on the first day of each billing cycle.
4.3 Payment of Fees
All fees are billed in Australian Dollars (AUD) and are exclusive of GST unless otherwise stated. Fees are collected via PayTo (NPP direct debit) from the Merchant's nominated bank account.
4.4 Late Payment
If payment fails, we will attempt to collect the outstanding amount. If fees remain unpaid for more than 14 days, we reserve the right to suspend your account until the balance is cleared.
4.5 Refund Policy
Subscription fees are non-refundable except where required by Australian Consumer Law. New Merchants may request a full refund within 30 days of their first subscription payment if they are not satisfied with the Service.
5. Merchant Obligations
As a Merchant, you agree to:
- Provide accurate and current business and identity information
- Comply with all applicable Australian laws and regulations
- Not use the Service for any unlawful, fraudulent, or deceptive purpose
- Maintain the security of your account credentials
- Notify us immediately of any unauthorised access to your account
- Not reverse-engineer, copy, or redistribute any part of the Service
6. Account Suspension and Termination
6.1 Suspension by Scan & Pay
We may suspend or restrict your access to the Service immediately and without notice if:
- We reasonably suspect fraudulent or unlawful activity
- You breach any provision of these Terms
- Your fees remain unpaid for more than 14 days
- Required by law, regulation, or direction from a regulatory body
6.2 Termination by Merchant
You may cancel your subscription at any time by contacting us at hi@scanandpay.com.au. Cancellation takes effect at the end of the current billing cycle. No refund is provided for the remaining period.
6.3 Termination by Scan & Pay
We may terminate your account with 30 days' written notice for any reason. In such cases, any prepaid subscription fees for unused periods will be refunded on a pro-rata basis.
7. Intellectual Property
All content, software, trademarks, and materials on the Scan & Pay platform are owned by or licensed to Senax Enterprises Pty Ltd. You may not reproduce, distribute, or create derivative works without our prior written consent.
"PayID" is a trademark of NPP Australia Limited. Use of the PayID name and logo on our platform is in accordance with NPP Australia's brand guidelines.
8. Privacy and Data
We collect and handle personal and business information in accordance with the Australian Privacy Act 1988 (Cth) and our Privacy Policy.
Transaction data is processed in real time and is not stored longer than necessary for verification, reporting, and compliance purposes. We do not sell or share your data with third parties for marketing purposes.
9. Third-Party Services
Scan & Pay integrates with third-party services including Global Payments (Ezidebit) for payment processing infrastructure, and NPP Australia for the PayID network. These third-party services are subject to their own terms and conditions, and we are not responsible for their performance, availability, or policies.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
We do not guarantee that the Service will be uninterrupted, error-free, or secure at all times. While we use commercially reasonable efforts to ensure uptime and accuracy, payment verification depends on third-party banking infrastructure beyond our control.
11. Limitation of Liability
To the maximum extent permitted by Australian law, Senax Enterprises Pty Ltd and its directors, employees, and agents are not liable for:
- Any indirect, incidental, consequential, or punitive damages
- Loss of revenue, profit, data, or business opportunity
- Damages arising from reliance on payment verification results
- Failures or delays caused by banking systems, internet connectivity, or third-party services
Our total aggregate liability for any claim arising from the Service is limited to the total fees paid by you to us in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless Senax Enterprises Pty Ltd and its directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any law or third-party rights.
13. Disputes
If you have a dispute with us, we encourage you to contact us first at hi@scanandpay.com.au so we can attempt to resolve it informally. If a resolution cannot be reached within 30 days, either party may pursue mediation through the Australian Disputes Centre before commencing legal proceedings.
14. Australian Consumer Law
Nothing in these Terms is intended to exclude, restrict, or modify any rights you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) or any other applicable consumer protection legislation that cannot be excluded by agreement.
15. Governing Law
These Terms are governed by the laws of the State of Victoria, Australia. You submit to the exclusive jurisdiction of the courts of Victoria and any courts of appeal therefrom.
16. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you via email or through the merchant dashboard at least 14 days before the changes take effect. Your continued use of the Service after that date constitutes acceptance of the updated Terms.
17. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
18. Entire Agreement
These Terms, together with our Privacy Policy and Pricing page, constitute the entire agreement between you and Senax Enterprises Pty Ltd in relation to the Service and supersede all prior agreements and understandings.
